Saudi PIF closes $55B leveraged buyout of Electronic Arts—largest LBO in history

Sovereign wealth capital now controls FIFA, Madden, and Apex Legends infrastructure at 14x trailing EBITDA.

Saudi Arabia's Public Investment Fund closed the $55 billion leveraged acquisition of Electronic Arts this morning, ending a nine-month process that began with a consortium bid in March. The transaction represents the largest leveraged buyout on record, surpassing the $45 billion KKR-Blackstone takeout of TXU Energy in 2007. EA shareholders received $182 per share in cash, a 42% premium to the undisturbed trading price before initial disclosure. The deal delivers control of the FIFA franchise, Madden NFL, Battlefield, Apex Legends, and The Sims to a sovereign wealth fund with $925 billion in assets under management.

The structure involved $22 billion in equity from PIF, $18 billion in senior secured debt arranged by Goldman Sachs and JPMorgan, and $15 billion in subordinated convertible notes placed with Gulf-based family offices and three Asian sovereign funds. Leverage sits at 6.2x trailing twelve-month EBITDA, aggressive for a consumer discretionary asset but defensible given EA's 91% digital revenue mix and 68% gross margin on live-service content. The company generated $7.4 billion in revenue and $2.1 billion in free cash flow over the last four quarters. Annual debt service will consume roughly $1.6 billion, leaving $500 million in distributable cash before growth capital allocation.

This marks the third major gaming acquisition by a Gulf sovereign fund in eighteen months. PIF took a 9.8% stake in Nintendo in May 2023 and a 5.3% position in Capcom four months later. The Saudi fund now holds equity or control positions in publishers generating 31% of global console and PC gaming revenue. The strategic imperative is infrastructure, not speculation—PIF is building a vertically integrated media and entertainment cluster in NEOM, the $500 billion planned city on the Red Sea. EA's Frostbite engine, cloud gaming patents, and live-ops engineering talent fit the long-term plan to host e-sports tournaments and operate gaming-as-a-service infrastructure across the Middle East and North Africa.

Family offices and institutional allocators should track three follow-on events. First, EA's board approved a $1.2 billion share buyback in the final public quarter; PIF will likely redirect that capital into content studio M&A within six months. Second, the U.S. Committee on Foreign Investment (CFIUS) imposed a data-localization condition—EA must store American user data on domestic servers and submit to biannual audits. Compliance costs run $80-120 million annually. Third, PIF hired Andrew Wilson, EA's outgoing CEO, as a senior advisor on gaming and digital entertainment; he will remain involved in strategic decisions without operational authority. The fund is expected to announce at least two bolt-on acquisitions of mobile gaming studios before year-end, likely in Southeast Asia or Latin America where regulatory friction is lighter.

The LBO leaves $33 billion in senior debt trading in the high-yield market. Initial pricing came at SOFR plus 525 basis points for the $18 billion term loan B, and 8.75% fixed for the $15 billion subordinated notes. Both instruments are non-call for two years. PIF has committed to annual EBITDA growth of 7-9% in investor presentations, implying $400-600 million in additional cash flow by 2027. The fund's cost of equity is effectively zero—it answers to the Saudi crown, not quarterly earnings calls—so the patience advantage over private equity sponsors is structural, not rhetorical.

The takeaway
PIF now controls 31% of global console revenue; the sovereign-wealth model for gaming infrastructure is no longer speculative.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
