The vote also signals that proxy advisors will tolerate a narrow operational thesis from activists only when the numbers are deteriorating in real time. Genesco's inventory and margin fixes came fast enough to erase the case for disruption. Radoff exits with no board influence and no apparent path to force a sale or breakup, which leaves the incumbents accountable for the next four quarters of execution without the excuse of distraction.
