Orthofix trades at 0.9x trailing revenue and posted $428 million in net sales for the twelve months ending September 2024, a 7% year-over-year decline despite management guidance for flat growth. The activist filing does not yet name board nominees but cites "operational underperformance relative to sector peers" and "capital allocation inefficiency." Orthofix has been without a permanent CFO since August and operates under interim leadership. The company's gross margin compressed 240 basis points year-over-year to 64.1%, trailing the orthopedic device sector median of 68.3%.
The simultaneous filings across six names suggest either a single fund complex deploying capital into multiple situations or a handful of activists moving in lockstep. BioLife Solutions and Garrett Motion both trade below book value and have seen insider selling in recent quarters. CBL Properties, a mall-focused REIT, carries $1.1 billion in net debt and has been targeted twice before by activists in the past five years. Life Time Group Holdings, the $5.8 billion fitness and wellness operator, presents the only growth name in the batch, though its 12.4x EBITDA valuation has compressed from 15.1x in early 2024. Infleqtion, a quantum technology company with limited public disclosure, represents the highest-risk position in the basket.
Activists typically file 13Ds within 10 days of crossing the 5% ownership threshold, meaning these positions were established in late April or early May. Proxy season for companies with fiscal years ending December 31 begins in earnest by mid-June, giving activists roughly 30-45 days to negotiate board representation before launching public campaigns. Orthofix's annual meeting is scheduled for late July, per last year's proxy, which compresses the timeline. The company has not yet responded publicly to the filing.
Allocators should watch for three follow-on events: additional 13D amendments disclosing specific board demands or nomination letters, typically filed within 15-30 days; earnings calls in mid-June where management addresses activist engagement; and any preemptive board refreshes announced in the next two weeks. Orthofix's interim CFO tenure and margin compression make it the most vulnerable to near-term board action. The other five names remain early-stage situations with less immediate catalysts, though CBL Properties' debt maturity wall in 2026 accelerates its timeline.
