Fund Finance Market Crosses $1 Trillion as Private Credit Warehouses Capital Through Q2 Drought

Direct lending activity collapsed 40% quarter-over-quarter while fundraising rebounded, creating the largest dry-powder accumulation in sector history.

The fund finance market—theLayer Two credit system that lends to private credit funds themselves—passed $1 trillion in outstanding commitments in Q2 2026, according to Moody's market data released Monday. Blue Owl Capital reported $8.2 billion in new credit fundraising during the quarter, a 34% rebound from Q1, even as its direct lending deployment fell $4.1 billion short of the prior quarter. The gap between capital raised and capital deployed has not been this wide since the zero-rate era ended.

Direct lending activity across U.S. private credit firms dropped 41% in Q2 compared to Q1, per Moody's compilation of manager reporting. Meanwhile, fundraising across the top 20 private credit platforms rose $22.7 billion quarter-over-quarter. Blue Owl's credit segment alone holds $14.3 billion in undeployed capital, the firm disclosed in its quarterly supplement. The result: private credit funds are borrowing against their own balance sheets—via subscription lines, NAV facilities, and warehouse structures—to manage liquidity while deal flow stalls. Fund finance providers, primarily the asset-based lending arms of Japanese banks and European specialty lenders, expanded aggregate commitments $147 billion year-over-year to meet this demand.

This matters because the fund finance market is now the shock absorber for private credit's timing mismatch. Fundraising rebounded as institutional allocators re-engaged after Q1's redemption wave, but sponsors are not finding deployment opportunities at acceptable spreads. Corporate borrowers are waiting for the Federal Reserve's next move; the 8.7% median coupon on new middle-market loans in Q2 is 190 basis points above where it sat in late 2024, and CFOs are holding. Private credit GPs are using fund-level leverage to smooth their own capital calls and avoid returning committed capital, which would reset management fee bases downward. The $1 trillion fund finance market is essentially a repo facility for an asset class that does not yet have a liquid secondary.

Blue Owl's earnings commentary noted redemption pressures "moderating" but did not quantify the outstanding queue. The firm's $239 billion in credit AUM carries an estimated $18-21 billion in embedded fund-level borrowing, based on standard 8-9% attachment rates in the subscription-line market. If deployment remains anemic through Q3, those facilities will start hitting covenants tied to loan-to-value ratios on undrawn commitments. Moody's separately flagged that 19% of fund finance facilities tracked in its index are now within 5% of their borrowing-base triggers, up from 11% in Q1.

Operators and allocators should watch three markers over the next 90-120 days: whether Blue Owl and Apollo extend their warehouse maturities (several $2-3 billion facilities roll in September), whether any Tier One manager returns capital to LPs instead of renewing commitments (a sign that deployment expectations have reset downward), and whether Japanese lenders—who hold $340 billion of the $1 trillion fund finance market—begin widening spreads on new commitments as their own cost of capital rises with yen carry unwinds.

The private credit industry is now borrowing more to manage the gap between what it raised and what it can lend than it borrowed during the entire 2020-2021 fundraising surge.
