Vertiv Holdings announced Tuesday it will acquire Utility Innovation Holdings for $1.45 billion in cash at closing, with performance-based earn-outs potentially adding $1.15 billion through 2027. The deal values UtilityInnovation at roughly 2.8x trailing revenue on the base consideration, according to people familiar with the transaction structure.
UtilityInnovation manufactures prefabricated power modules for data centers, a category that has moved from cost optimization to deployment speed as hyperscalers race to bring AI training capacity online. The company ships self-contained electrical rooms—transformers, switchgear, backup generators integrated into shipping-container-sized units—that cut on-site construction time from 14 weeks to under three. Vertiv already supplies cooling and power management systems to the same hyperscale buyers. The acquisition eliminates a procurement step and lets Vertiv quote turnkey power infrastructure as a single line item.
The earn-out structure matters. $1.15 billion in additional consideration ties directly to UtilityInnovation hitting revenue milestones through 2027, which means Vertiv is paying for a forward revenue stream it believes the hyperscale capex cycle will deliver. If the earn-outs vest in full, the combined deal value reaches $2.6 billion, or roughly 4.2x forward revenue assuming UtilityInnovation grows at the 47% CAGR Vertiv cited in its investor presentation. That multiple sits above recent data center infrastructure transactions, which have traded between 3.1x and 3.8x forward revenue over the past eighteen months. Vertiv is pricing in margin expansion from cross-selling its liquid cooling systems alongside UtilityInnovation's prefab modules.
Hyperscalers are the read-through. Meta, Microsoft, and Google have each stated they will spend between $60 billion and $75 billion on infrastructure in 2025, with roughly 40% earmarked for data center construction outside of compute hardware. Prefab modules let them light up new clusters without waiting on local electrical contractors or permitting delays for custom builds. Vertiv now controls both the cooling loop and the power feed, which positions it to capture a larger share of each hyperscale site's total infrastructure spend. The company has not disclosed UtilityInnovation's current revenue, but comparable players in prefab power modules have seen order books extend from six months to fourteen months as hyperscalers pre-commit capacity.
Allocators should watch Vertiv's gross margin trajectory over the next two quarters. Prefab modules typically carry 18-22% gross margins, below Vertiv's legacy cooling business, which runs closer to 32%. If Vertiv cannot cross-sell enough high-margin cooling into UtilityInnovation's install base, the acquisition will compress blended margins even as revenue grows. The earn-out milestones vest quarterly through Q4 2027, so missed payments will signal either slower hyperscale buildout or integration friction. Vertiv has guided to closing the deal in Q2 2025, subject to regulatory clearance, which means the first earn-out measurement likely occurs in Q3.
The valuation assumes the hyperscale capex cycle holds through 2027 without a digestion phase. If any of the big four hyperscalers pause data center builds to optimize utilization—something Meta signaled in its last earnings call—UtilityInnovation's order book will compress, and Vertiv will have paid $1.45 billion for a growth rate that does not materialize. The prefab module market is not winner-take-all, but Vertiv is betting it can become the default supplier by bundling power and cooling into a single procurement relationship. That works if hyperscalers continue to prioritize speed over cost. The earn-out structure is Vertiv acknowledging that bet is not yet certain.
