Brussels blocks the consolidation it demanded, leaving European defense fragmented against SpaceX.

The three-way merger of Airbus, Leonardo, and Thales space operations has collapsed under EU antitrust review, ending a consolidation push valued near €10 billion that European defense ministers spent two years requesting. Brussels delivered structural demands the partners found incompatible with the merger's strategic purpose — creating a European prime large enough to bid against SpaceX and Northrop Grumman on sovereign satellite constellations.

The European Commission's competition directorate required divestitures in military satellite communications and Earth observation, the two segments where the combined entity would have held market leadership. Airbus and Thales withdrew the filing last week. Leonardo, which would have contributed its €1.2bn Telespazio joint venture and manufacturing plants in Lombardy and Lazio, confirmed it will now pursue bilateral partnerships instead of the tri-national structure. No resubmission is planned. The three companies had spent 18 months on integration planning and filed in Q3 2024.

The contradiction sits in plain view. The same Brussels policymakers who authored the 2023 European Defence Industrial Strategy — which explicitly called for cross-border prime contractor consolidation — applied legacy antitrust frameworks designed for consumer goods. The space defense market is not contestable by new entrants. It requires sovereign security clearances, multi-decade supplier relationships with national defense ministries, and €500m+ minimum scale to bid on next-generation satellite programs. The Commission treated it as if new competitors could emerge within a standard two-year review window. They cannot.

What dies with this merger is Europe's near-term path to a credible SpaceX competitor. Starlink operates 5,400 satellites with $4.2bn in 2024 revenue. The three European primes combined generated $6.1bn in space revenue last year, but fragmented across incompatible ground systems, duplicative R&D in optical inter-satellite links, and three separate sovereign customer negotiations for the same EU constellation program. The merged entity would have had the balance sheet to self-fund a €2bn reusable launch vehicle — a capability no single European player can finance alone. That vehicle will not be built.

Allocators watching European defense should track three follow-on moves in the next six months. First, whether Airbus and Thales attempt a two-party combination excluding Italy, structuring it as a joint venture to avoid full merger review. Second, Thales CEO Patrice Caine's bilateral discussions with Northrop Grumman on the Skylark constellation contract, which would mark the first time a European prime formally partners with a U.S. competitor over EU alternatives. Third, Leonardo's renewed M&A focus on the Hensoldt stake — the German sensor manufacturer where Leonardo holds 25.1% — as a substitute path to scale.

The file now sits closed in Brussels, and the European space industrial base remains six primes where the U.S. has two and China has one. The Commission issued no revised guidance on how defense consolidation should proceed under its competition mandate. It did not need to. The answer is that it will not.
