Blackstone Digital Infrastructure Trust filed for a $1.75 billion initial public offering, the largest US REIT launch attempt in eighteen months and the first dedicated data center vehicle to test public markets since Digital Realty's $690 million follow-on in April 2023. The filing positions Blackstone to monetize a portfolio accumulated quietly since 2021, when the firm began warehousing hyperscale facilities and powered shells across Northern Virginia, Phoenix, and Dallas-Fort Worth.

The trust holds 47 operational data centers and 14 development sites, according to the S-1 filing, with 87% of revenue under triple-net leases to three tenants: an unnamed hyperscaler widely understood to be Microsoft, Oracle through its cloud infrastructure division, and a consortium led by CoreWeave. Average lease duration sits at 11.3 years. The portfolio generates $340 million in annualized EBITDA on $420 million in contracted revenue, implying a pre-money enterprise value near $5.8 billion at standard data center cap rates. Blackstone has not disclosed the exact equity slice the IPO represents, but the $1.75 billion raise suggests a 30-35% float if priced near NAV.

This matters because Blackstone is effectively creating a public wrapper for assets that have tripled in private valuations since acquisition. The firm paid an average of $240 per kilowatt for the core portfolio in 2021 and 2022, when hyperscalers were still negotiating colocation deals. Today those same powered shells trade at $850-$1,100 per kilowatt in the private market, driven by AI training clusters that require three to five times the power density of traditional cloud workloads. By taking the REIT public now, Blackstone locks in that spread while shifting development risk and capital intensity to public shareholders. The timing is precise: private REITs like Equinix and CyrusOne have seen redemption requests soften as allocators recognize the secular tailwind, but they remain illiquid. A public vehicle gives family offices and endowments a tradable proxy without the 18-24 month gate typical of Blackstone's private funds.

The move also signals Blackstone's belief that institutional appetite for yield-oriented AI infrastructure has reached sufficient depth to absorb a $1.75 billion primary. Data center REITs have outperformed the MSCI US REIT Index by 1,840 basis points year-to-date, but the sector remains small: only four pure-play names trade above $5 billion in market cap. If Digital Infrastructure Trust prices successfully, expect accelerated sale processes for private portfolios held by Brookfield, DigitalBridge, and APG Asset Management, all of which have been waiting for a reference transaction. Blackstone's filing also confirms that hyperscalers are willing to sign decade-plus leases on shells that won't energize for 16-20 months, a structural shift that makes forward development far less risky than it was in the colocation era.

Operators should watch three follow-on events. First, the roadshow will reveal whether the trust prices at NAV or takes a 5-8% discount to reflect development exposure; that spread will set the tone for private fund marks in Q1 2025. Second, Microsoft's Azure capacity commitments renew in March 2025 for 11 of the Northern Virginia facilities, and any non-renewal would crater the thesis. Third, Blackstone has filed shelf capacity for an additional $2.5 billion, meaning this IPO is likely the first tranche of a broader monetization that could include the firm's European data center JV with GIP, expected to surface in public markets by mid-2025.

The 47 facilities already online represent 1.1 gigawatts of critical IT load, roughly 8% of total US hyperscale capacity. That concentration, in a market where power availability now dictates site selection, is the real asset.
