Brookfield Asset Management and Canada Pension Plan Investment Board closed their $5.2 billion all-cash acquisition of LXP Industrial Trust on schedule, moving 27 million square feet of U.S. industrial property into a joint institutional vehicle. The transaction, announced in July and priced at $13.25 per share, represents a 25% premium to LXP's June trading level and eliminates one of the smaller publicly traded industrial REITs at a moment when private capital is repricing logistics assets faster than public markets.
LXP shareholders received cash for their stakes in a portfolio concentrated in the Sun Belt and Midwest markets that institutional buyers have systematically targeted since 2021. The REIT's properties sit in secondary distribution corridors—Columbus, Indianapolis, Nashville—rather than the Inland Empire or New Jersey Turnpike nodes where pricing has already compressed. Brookfield and CPP are betting that the 18-24 month lease renewal cycle will let them re-tenant at rates 12-18% above LXP's in-place rents, a spread the public vehicle could not monetize under analyst scrutiny and quarterly earnings pressure.
The deal marks CPP's third co-investment with Brookfield in U.S. logistics since 2019, bringing their combined exposure above $15 billion in industrial real estate. CPP has been rotating capital out of office and retail into supply-chain infrastructure at a measured pace, using Brookfield's operating platform to avoid building its own asset management team for single-tenant warehouses. Brookfield gains another levered return stream in a sector where it has raised $8 billion in closed-end funds over the past 36 months. The firm's ability to take public companies private and re-lever them inside evergreen vehicles has made it the default acquirer for orphaned industrial REITs with capable management teams and unfashionable equity valuations.
Watch for CPP to redeploy proceeds from its $2.1 billion exit of European student housing—completed in October—into further North American logistics commitments before mid-2025. Brookfield will likely fold LXP's assets into its Super Core Infrastructure Partners vehicle, which is raising a targeted $30 billion and needs industrial allocation to balance its energy transmission and data center weightings. The firm has committed to two additional REIT take-privates by year-end 2025, and the LXP structure provides a template.
The acquisition removes roughly $1.4 billion in equity market cap from the industrial REIT index at a moment when public multiples remain 15-20% below replacement cost. Private buyers continue to see value that public shareholders cannot access.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
