Bullish, the Gibraltar-domiciled cryptocurrency exchange backed by Peter Thiel and Alan Howard, priced 2.8 million shares at $50 each on the New York Stock Exchange Thursday, $5 above the high end of its marketed range. The stock closed its first session at $73, a 46% gain that valued the company at roughly $2.1 billion and marked the first significant crypto exchange listing since Coinbase's direct listing three years ago.

The offering raised $140 million in primary capital. Underwriters led by Cantor Fitzgerald exercised a partial greenshoe, adding 420,000 shares to the deal. The company had initially targeted a $40-$45 range before upsizing on the back of oversubscription from family offices and multi-strategy funds. Roughly 60% of the book came from accounts that do not typically participate in crypto-native offerings, according to a person familiar with the allocation.

Bullish operates a central limit order book exchange with $1.2 billion in average daily volume and 180,000 active accounts, primarily institutional. The platform cleared $440 billion in cumulative volume since launch in mid-2022. Unlike Coinbase, which derives most revenue from retail spreads, Bullish charges flat maker-taker fees and holds $450 million in liquid reserves on its balance sheet, including 140,000 Bitcoin and 1.8 million Ether acquired before 2023. The exchange is regulated under Gibraltar's DLT framework and maintains a 1:1 reserve ratio audited monthly by BDO.

The IPO reintroduces a tradable pure-play venue at a time when allocators are separating infrastructure bets from token exposure. Bitcoin's rise past $100,000 in December unlocked a fresh wave of treasury allocations, but most of that capital moved through ETFs or OTC desks, not listed equities. Bullish's model — low-fee, high-transparency, reserve-backed — appeals to the same family offices that spent 2023 building direct custody relationships rather than routing through Coinbase or Kraken. The company's post-money equity value of $2.1 billion compares to Coinbase's $52 billion market cap, but Bullish carries no retail customer acquisition cost and no regulatory overhang from staking or lending products.

Operators should watch three follow-on events. First, Bullish plans to add 12 new token pairs by mid-Q2, including Solana and Avalanche, which could double daily volumes if liquidity migrates from offshore competitors. Second, the company is applying for a New York BitLicense and a Federal Deposit Insurance Corporation-supervised trust charter, both expected to conclude by year-end. Third, lock-up agreements expire 180 days post-listing, which will release 68% of shares held by Thiel's Founders Fund, Galaxy Digital, and Block.one, the EOS developer that seeded Bullish with its token treasury in 2021.

The debut arrives two weeks after Kraken postponed its own listing, citing "market conditions." It confirms what the November election already suggested: regulated onshore venues with audited reserves are no longer speculative.
