Clayton Dubilier & Rice circles $40 billion Global Payments buyout

The largest payments-sector LBO since Advent's Worldpay deal would test 2025's credit appetite at scale.

In plain words

CD&R's **$40 billion** Global Payments pursuit tests whether credit markets can absorb the largest payments LBO since 2019.

Clayton Dubilier & Rice has opened preliminary discussions to acquire Global Payments, the Atlanta-based payments processor with an enterprise value near $40 billion, according to the Financial Times. The approach, confirmed by people familiar with the matter, would mark the largest leveraged buyout attempt in the payments sector since Advent International and Bain Capital took Worldpay private for $43 billion in 2019. Global Payments closed Thursday at $113.82 per share, giving it a market capitalization of roughly $28 billion before debt. CD&R has not yet submitted a formal bid, and no transaction is certain.

Global Payments processes $2.3 trillion in annual transaction volume across merchant acquiring, issuer solutions, and business-to-business payments. The company generates approximately $9.8 billion in revenue with EBITDA margins near 46 percent, a profile that fits CD&R's preference for asset-light, recurring-revenue platforms with pricing power. Global Payments has been publicly traded since 2001 and completed its merger with TSYS in 2019, creating the fourth-largest U.S. payments processor behind Fiserv, FIS, and Block. The stock is down 18 percent year-to-date, underperforming the S&P 500 by 23 percentage points, largely due to compressed net revenue yields and slower small-business payment volume growth. That underperformance has created an entry point for buyout firms willing to stomach the financing.

A deal at $40 billion enterprise value would require roughly $28 billion to $30 billion in debt financing, assuming CD&R contributes $10 billion to $12 billion in equity. That debt load would test the leveraged loan and high-yield bond markets at a scale not seen since the KKR-led buyout of Avalara collapsed in early 2023. Current credit conditions are tighter than 2021 but more accommodating than mid-2023, with broadly syndicated loan spreads for B-rated issuers trading near 425 basis points over SOFR. Global Payments carries investment-grade ratings from Moody's (Baa3) and S&P (BBB-), which would be stripped in a leveraged transaction, forcing the company into high-yield territory. The financing package would likely involve a $15 billion to $18 billion term loan B, a $5 billion senior unsecured bond tranche, and a $3 billion to $5 billion asset-based revolving credit facility. CD&R has committed financing relationships with JPMorgan, Goldman Sachs, and Bank of America, all of which participated in the firm's $5.2 billion acquisition of Olympus Partners' Confluent Health in 2022.

The pursuit arrives as payment processors face margin compression from rising interchange regulation in Europe, slower transaction growth in the U.S., and competition from embedded finance platforms like Stripe and Adyen. Global Payments has pivoted toward software-enabled payments, acquiring restaurant-tech provider TASK Group in 2023 and expanding its vertical SaaS offerings in health care and hospitality. CD&R specializes in operational turnarounds and has a history of taking B2B technology companies private, including CDK Global (automotive retail software) and Belron (vehicle glass repair). The firm's approach would likely involve cost rationalization, portfolio pruning, and accelerated migration of legacy clients onto higher-margin cloud platforms. CD&R declined to comment. Global Payments did not respond to requests.

Allocators should monitor credit syndication activity in the next 45 to 60 days. If CD&R moves to a formal bid, Wall Street will begin circulating stapled financing commitments to test demand among direct lenders, CLO managers, and institutional loan buyers. Pricing on the term loan B will signal whether the market can absorb a $15 billion-plus single-name exposure in a sector already saturated with fintech debt. Separately, watch for competing bids from Thoma Bravo, Vista Equity Partners, or a consortium including sovereign wealth capital, all of which have run diligence on large-cap payment processors in the past 18 months. Regulatory approval would require Hart-Scott-Rodino clearance and likely a secondary review given the transaction size, adding 90 to 120 days to closing timelines.

The loan syndication will price the deal before the equity does.

For the principal

If you hold Global Payments debt, the credit will reprice wider on LBO risk before any bid materializes.

For the operator

Watch the loan syndication. Pricing on a $15 billion term loan B will tell you what's financeable in 2025.

AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable.
