The vote came during Diana Shipping's (DSX) ongoing $410 million unsolicited cash bid, with Diana holding 19.8% of Genco shares and nominating two directors.
Genco's board won every contested item — including director elections and Say-on-Pay — by margins exceeding 68%. The poison pill vote stood alone. Diana argued the rights agreement, adopted in March at a 15% trigger threshold, artificially constrains shareholder choice during the cash tender offer period. Institutional Shareholder Services recommended voting against the plan, noting Genco's market capitalization of $865 million makes the trigger unusually restrictive compared to peer shipping companies where 20% thresholds remain standard.
The narrow approval changes the calculus for both parties. Diana's $24.80 per-share offer, announced in April, represents a 22% premium to Genco's pre-announcement trading price but sits 8% below current market levels following a $0.22 per-share dividend increase Genco announced in May. Genco's board maintains the bid undervalues the company's 44-vessel Capesize and Supramax fleet, pointing to forward charter coverage through 2026 and a net asset value the company estimates at $28.50 per share.
For allocators, the vote reveals institutional fatigue with defensive postures during cash bids in capital-intensive sectors. Genco operates with $142 million net debt and generated $89 million free cash flow in the trailing twelve months, but shareholders appear willing to entertain liquidity events when spot rates compress. Dry bulk shipping has seen eleven takeover attempts since 2021, with only three resulting in completed transactions — all cases where poison pills were either absent or withdrawn early.
What operators and allocators should watch: Diana's tender offer expires July 12, and the company can extend through September without triggering poison pill provisions. Genco reports second-quarter earnings August 7, which will include updated charter coverage and cash flow guidance. If Baltic Dry Index rates — currently at 1,840, down 32% year-over-year — remain compressed through summer, expect Diana to raise its bid incrementally or launch a formal proxy contest for the 2026 annual meeting slate.
The vote margin suggests Genco's board has one clean quarter to demonstrate standalone value creation before institutional holders reconsider liquidity. Diana has not acquired additional shares since crossing 19.8% in April, positioning just below the poison pill threshold and preserving optionality without forcing an immediate board response.
