GIC Cleared for 2.14% Stake in Groww at $8B Pre-IPO Valuation

Singapore sovereign takes secondary position in India's retail investing platform weeks before expected Mumbai listing.

Singapore's GIC received Competition Commission of India approval to acquire a 2.14% stake in Billionbrains Garage Ventures, the entity behind Groww, India's largest retail investing platform by active users. The transaction values Groww near $8 billion pre-money, consistent with its last institutional round in October 2021. CCI clearance arrived July 1, removing the final regulatory gate before an expected Q3 IPO filing.

The stake purchase is a secondary transaction from existing shareholders, not primary capital into Groww's treasury. GIC joins Tiger Global, Sequoia Capital India, and Ribbit Capital on the cap table. Groww reported 10 million monthly transacting users as of March 2025, a 340% increase from March 2022, and operates the second-largest mutual fund distribution platform in India by assets under advisory. GIC faced only the competition review because financial services acquisitions below control thresholds are automatic under FDI rules revised in 2020. Watch three follow-on events. Groww's DRHP filing with SEBI, expected by mid-August, will disclose the exact GIC entry price and whether the sovereign fund negotiated price protection or liquidity rights. Second, whether Tiger Global or Sequoia sell further secondary stakes before the IPO roadshow, which would indicate different views on listing-day pricing. Third, GIC's portfolio construction in Indian fintech: the fund already holds stakes in Razorpay and Cred, and a Groww position would complete coverage across payments, lending, and investing rails.

The 2.14% figure is precise enough to suggest this is exactly the size GIC wanted, not the size available. Indian fintech secondaries are usually packaged in 3–5% blocks. A smaller slice means GIC either carved out exactly what fit its India allocation model, or negotiated down from a larger offer because it expects to buy more in the IPO bookbuild.
