Intertek Rejects EQT's $12 Billion Third Offer, Shares Down 6% in London

Swedish PE firm's persistence meets board resistance at UK testing-and-inspection leader with 5,800 clients in 100 countries.

Intertek Group turned down EQT's third takeover approach valued at approximately $12 billion, sending shares down 6.2% to 4,847 pence in London trading Wednesday morning. The UK-based testing, inspection, and certification firm has now rejected three separate offers from the Swedish private equity house since late 2024, each time citing undervaluation and strategic independence.

EQT's latest bid arrived January 13th at roughly 5,200 pence per share, a 7% premium to Tuesday's close but still below Intertek's board valuation of the company's embedded contract revenue and global regulatory footprint. The firm generates $3.8 billion in annual revenue across 1,000 laboratories and 46,000 employees, with long-duration contracts in pharmaceuticals, energy infrastructure, and consumer goods testing. EQT's first approach in November was rebuffed at 4,900 pence; a December revision to 5,050 pence met the same response. Under UK Takeover Panel rules, EQT has until February 10th to either table a firm offer or walk away for six months.

The rejection matters because Intertek sits at the nexus of three compounding trends: tightening global product-safety regulation, ESG compliance mandates requiring third-party verification, and supply-chain fragmentation that increases demand for neutral testing capacity. The firm holds ISO 17025 accreditation across 94% of its labs and has non-commoditized exposure to battery testing for electric vehicles, semiconductor quality assurance, and pharmaceutical stability studies. EQT likely sees margin expansion opportunity—Intertek's 16.8% operating margin trails peers SGS at 18.1% and Bureau Veritas at 17.4%—but the board argues that operational improvements already underway will deliver shareholder value without a control premium that discounts 2026-2027 earnings growth.

For allocators, three dynamics warrant tracking. First, whether EQT resurfaces with a consortium bid—private equity's usual move when a lone approach fails is to split equity risk and bring strategic co-investors, potentially a testing peer or industrial conglomerate seeking vertical integration. Second, Intertek's Q1 trading update due mid-February will either validate management's independence stance or reveal earnings pressure that reopens deal logic. Third, the UK's declining takeover premium environment—average control premiums have compressed from 38% in 2021 to 29% in 2024—creates persistent bid-ask gaps between patient public-market holders and PE firms modeling 18-22% IRRs on seven-year holds.

EQT manages €235 billion across infrastructure, credit, and buyout strategies; its previous UK take-privates include Sennheiser's consumer audio division and Envirotainer's pharmaceutical cold-chain logistics. Intertek's next debt maturity is a £300 million bond due September 2026 at 3.375% coupon, leaving limited refinancing pressure to force a deal. The firm's 52-week high of 5,340 pence came in July 2024, before sector rotation out of quality industrials into cyclicals. Chairman Gurnek Bains, in office since 2020, has previously steered off approaches from CVC Partners and Cinven.

EQT's February 10th deadline arrives five weeks before Intertek's March 6th full-year results, which will include 2025 revenue guidance and capital allocation commentary that either strengthens or undercuts the independence argument.

The takeaway
Third EQT rejection at $12B tests UK deal dynamics as Intertek defends 16.8% margins and embedded regulatory tailwinds through February deadline.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
