Jana Partners has accumulated a new position in technology company Everpure and will disclose the stake in a regulatory filing within the next several trading days, according to two sources familiar with the matter and documents reviewed. The position size remains undisclosed, though Jana's historical activist entries in mid-cap technology names have ranged from $180 million to $520 million depending on target liquidity and thesis depth.
Everpure, which trades under ticker P, moved 10% higher Tuesday on volume 3.2x the twenty-day average as word of the stake circulated among specialist desks. The company operates in the water purification technology vertical with a current market capitalization near $1.4 billion and has traded in a $28 to $41 range over the past twelve months. Jana's entry follows a pattern visible in its last four disclosed positions: entry during periods of operational transition, typically six to nine months before management turnover or asset-sale discussions reach the board level.
The timing matters because Jana has shifted 38% of its disclosed equity book toward technology and industrial software since Q2 2025, exiting three consumer-discretionary positions and adding stakes in companies with recurring revenue models under pressure from margin compression. Everpure reported $340 million in revenue for the trailing twelve months with EBITDA margins near 19%, below the 26% median for comparable water-tech peers. The company has also carried $420 million in net debt since a 2024 acquisition that has yet to deliver the $45 million in promised synergies. These are the conditions Jana has historically identified as ripe for board engagement and capital-structure work.
Allocators should watch for the 13D filing within the next five trading days, which will clarify whether Jana crossed the 5% threshold and whether the language signals passive investment or active intent. The company's next earnings call is scheduled for mid-July, and any Jana commentary on that call would indicate a faster timeline than usual. Separately, Everpure's board has two seats up for election at the annual meeting in late September, and Jana has nominated directors in 64% of its disclosed activism cases since 2022.
The activist's other current holdings include stakes in software infrastructure and payment-processing companies, and it has exited positions in two retail-adjacent names over the past ninety days. That reallocation suggests Jana is playing a thesis around operational leverage in technology businesses where management has underinvested in margin improvement. Everpure fits that profile cleanly, and the disclosure will show whether Jana is positioning for a quick board conversation or a longer campaign.
