Japan's ruling Liberal Democratic Party confirmed last week it will table legislation before the autumn Diet session to tighten enforcement of shareholder disclosure rules against activist investors, with particular focus on foreign funds holding stakes exceeding 5% in publicly traded companies. The move follows a pattern of delayed or incomplete filings by at least seven offshore vehicles since 2022, according to a Finance Ministry working paper cited by the party's policy research council. Combined, those stakes represent roughly ¥18 trillion in market value across 34 companies.

The proposed framework would grant the Financial Services Agency authority to conduct proactive audits of beneficial ownership structures and impose penalties for non-compliance without waiting for shareholder complaints. The LDP draft, circulated internally on July 3, includes provisions for ¥500 million fines per violation and mandatory disgorgement of profits earned during non-compliant periods. First, Japan's corporate governance reforms since 2015 have drawn $240 billion in activist capital, much of it from U.S. and European hedge funds targeting companies trading below book value. Second, the ruling coalition lost 15 seats in the December by-elections, and manufacturing-sector constituencies are demanding protection from what they call "short-term extraction." Third, the Ministry of Economy, Trade and Industry published data in May showing that 43% of Tokyo Stock Exchange Prime Market firms now have at least one foreign investor holding above 10%, up from 31% in 2019. The LDP views incomplete disclosure as an asymmetry that favors foreign capital over domestic institutional investors, who face stricter real-time reporting.

Funds with Japan exposure above 8% of assets under management should prepare for increased disclosure granularity and shorter filing windows. The LDP's stated goal is to compress the current five-day filing period after crossing thresholds to two business days, aligning Japan with U.K. rules. That compression alone would force operational changes for any manager running a multi-vehicle structure across Tokyo, and it would make rapid accumulation strategies significantly more difficult to execute without triggering market impact.
