KKR Alternative Assets LP filed Tuesday to commence a cash tender for up to $150 million of FS KKR Capital Corp common stock, the business development company trading at $20.14 as of market close. The offer runs through June 2026, giving the parent eighteen months to accumulate equity in its own yield vehicle while the Fed holds rates above 4.5 percent. FS KKR, ticker FSK, manages $16.8 billion in assets across middle-market credit and carries a trailing yield near 13.2 percent, unchanged since September.
The tender is priced at net asset value or a modest premium, structure still pending final SEC filing. KKR Alternative Assets holds roughly 18 percent of FSK already, making this a creep toward majority control without triggering a full takeover bid. The parent is not buying back its own LP units—this is a direct equity grab in the BDC, where management fees on permanent capital run 1.75 percent annually and incentive allocations reset every quarter. FSK has returned 22 percent total since January 2023, lagging the S&P 500 but outperforming the BDC index by 640 basis points.
The timing matters because credit spreads on middle-market loans compressed 110 basis points in the past nine months, and FSK's portfolio companies now refinance at lower rates, pressuring net interest margins. KKR is locking in equity at a moment when the BDC trades near book value, not the 15 percent discount it carried in late 2023. This is cheaper than launching a new vehicle, and it consolidates fee streams under one roof as institutional allocators pull back from standalone BDC commitments. The tender also removes float from public hands, reducing volatility and making FSK easier to manage as a captive credit sleeve.
Operators should track FSK's discount to NAV through Q2 2025, the period when most tenders close. If the spread tightens below 3 percent, the offer will fill fast. Watch for follow-on filings in March, which will clarify whether KKR prices at NAV or adds a 2-4 percent premium to goose participation. The parent's LP unit price—ticker KKR, currently $148—has not moved on the news, meaning the market reads this as capital reallocation, not fresh deployment. If KKR raises the tender size or extends the deadline, that signals stronger conviction that private credit spreads widen again by mid-2026.
FS KKR's next earnings call is February 18th. The company will disclose whether portfolio companies are refinancing ahead of schedule, which would validate KKR's timing.
