Marvell Pays $115B for Lumentum in All-Stock Bet on AI Optical Stack

Marvell Technology announced Sunday it will acquire optical components maker Lumentum in an all-stock transaction valued at $115 billion including debt, the largest semiconductor M&A print since Broadcom's attempted Qualcomm bid in 2018. The deal hands Marvell immediate ownership of the photonics layer connecting AI compute clusters, a tax it previously paid through supplier contracts.

Lumentum ships transceivers, switches, and optical interconnects into hyperscale data centers. Marvell designs custom silicon for the same buyers. The merger eliminates the margin split. Marvell's existing PAM4 DSP roadmap now sits inside the same P&L as Lumentum's lasers and modulators, which matters when your customer is Meta or Microsoft and the order size starts at $400 million per deployment phase. Broadcom acquired optical assets years ago. Marvell spent $115 billion to catch up in one weekend.

The equity structure matters more than the headline number. All-stock means Lumentum shareholders inherit Marvell's AI multiple, currently 34x forward earnings, up from Lumentum's standalone 18x. Marvell's stock closed Friday at $89.12. The deal implies Marvell is paying roughly 1.3x the combined revenue run rate, tight for a vertical integration play in AI infrastructure. That pricing assumes hyperscale capex stays elevated through 2026, which is the same assumption baking every AI semiconductor valuation today. If cloud spending decelerates in Q2 2025, the equity consideration becomes expensive fast.

The combined company owns end-to-end connectivity for AI training clusters: Marvell's custom ASICs and SerDes, Lumentum's co-packaged optics and 800G transceivers. Competitors selling piecemeal now face a supplier that controls signal integrity from die to fiber. Worth noting: Broadcom already operates this model and trades at 31x forward. Marvell just paid $115 billion to eliminate the discount. The playbook is proven, but it requires hyperscale customers to prefer sole-source optical contracts over diversified supply chains.

Operators should track three follow-on effects. First, watch for Nvidia's response. Nvidia designs its own interconnects but still buys optics from third parties. If Marvell locks optical supply into custom chip bundles, Nvidia either acquires its own photonics capacity or accepts margin compression on InfiniBand and NVLink cables. Second, monitor Intel's Altera business. Intel sells both FPGAs and optical modules. Marvell just became a vertical competitor in Intel's highest-margin socket. Third, Lumentum's Japan-based manufacturing footprint now belongs to a U.S. company designing chips for Chinese hyperscalers. Export control footnotes arrive within 90 days.

The deal closes mid-2025, subject to regulatory clearance in the U.S., EU, and China. Marvell assumes $3.8 billion of Lumentum's net debt. The combined entity will book roughly $9.2 billion in annual revenue based on trailing twelve months, assuming no attrition. Marvell's CEO Matt Murphy spent $115 billion to own the optical tax. Broadcom has owned it since 2019 and already trades in line with Marvell's new pro forma multiple.

For the principal

Monitor Marvell equity volatility through Q1 2025; all-stock structure transfers hyperscale capex risk to Lumentum legacy holders.

For the operator

Track Nvidia's optical sourcing shifts and Intel Altera pricing; vertical consolidation pressure now applies to adjacent socket positions.

For the house

Named accounts with Broadcom optical exposure rotate partial hedge into Marvell equity; structure as paired trade through deal close.

AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable.
