Yet management chose a band that prices the issue at a discount to BSE, its smaller competitor, which trades at roughly 18-20x trailing earnings. NSE's revised band implies a multiple in the 14-16x range, depending on final allocation. The decision suggests the sellers — a consortium including Goldman Sachs, Tiger Global, Temasek, and SoftBank — prefer velocity over maximum extraction.
The timing intersects with two developments. First, NSE this week facilitated India's first tokenised corporate bond issuances under SEBI's regulatory sandbox, with L&T and REC raising ₹1,000 crore through NSE's Electronic Book Provider platform. The issuance demonstrates NSE's ability to build revenue lines outside traditional equity and derivatives clearing, a point the prospectus will emphasise. Second, the issue arrives as India's equity markets sit near all-time highs, with the Nifty 50 up 11% year-to-date and domestic mutual fund inflows running at ₹15,000-18,000 crore monthly. The discount to BSE and the pullback from ₹30,000 crore leave room for first-day appreciation, which matters when retail participation will determine allocation outcomes.
Allocators should watch three follow-on events. The anchor book closes within 24 hours of opening, giving a clean read on institutional appetite by September 17. Retail subscription data will flow September 18-20, with over-subscription multiples determining final pricing within the band. Post-listing, the stock will immediately enter Nifty 50 index calculations, forcing passive flows estimated at ₹3,000-4,000 crore within the first quarter. The exchange's monopoly position in derivatives — 90% share — means any regulatory changes to margin requirements or contract specifications will move the stock, and SEBI has signaled no major policy shifts through year-end.
The conservative pricing is the signal. NSE could have held the ₹30,000 crore figure and still cleared the book, but the sellers chose a path that favors aftermarket performance over day-one proceeds. The discount to BSE, despite superior margins and market share, prices in room for appreciation that will matter when the stock begins trading in late September.
