Oasis Management takes 10% of Kadokawa, lines up FromSoftware governance push

Hong Kong activist crosses reporting threshold on Japan's most valuable game IP owner, filing drops three weeks after Sony's failed takeover.

Oasis Management disclosed a 10.02% stake in Kadokawa Corporation on January 23, crossing Japan's reporting threshold eleven trading days after accumulation. The Hong Kong-based activist paid an estimated ¥48.7 billion ($316 million) across December and early January purchases, entering at a 23% discount to Kadokawa's November peak when Sony's takeover attempt briefly valued the conglomerate at ¥620 billion.

Kadokawa owns 69.66% of FromSoftware, the Elden Ring studio that generated ¥67.3 billion in revenue last fiscal year on two titles. The firm spent 2023 and 2024 pressing Tokyo Broadcasting System to monetize its 53.2% stake in BS-TBS, securing board seats in April 2024 after a six-quarter campaign. Kadokawa's structure mirrors that playbook: a conglomerate parent trading below the marked value of a single crown-jewel subsidiary, with dispersed minority holders and no controlling shareholder above 5% prior to Oasis's entry. Founder Tsuguhiko Kadokawa's estate holds 4.1%; no other insider exceeds 2%.

Sony's November attempt collapsed on integration concerns, not price. Kadokawa's publishing and anime divisions employ 4,720 people generating ¥141 billion in revenue at 6.2% operating margins, dragging consolidated returns below FromSoftware's 41% operating margin. Sony's gaming division already operates FromSoftware's distribution in 14 territories and co-funded Elden Ring's $200 million development budget. The deal died when Kadokawa's board refused to separate FromSoftware from the parent's IP library, which includes 12,400 light novel titles and 47 active anime productions. Oasis's January entry suggests the activist sees a simpler path: pressure Kadokawa to dividend out FromSoftware shares pro-rata to existing holders, or engineer a tender offer for FromSoftware at a 32-38% premium to the implied subsidiary value.

FromSoftware's product calendar carries 18-month gaps between releases, with the next major title expected in Q4 2025 or Q1 2026 based on historical cadence. Elden Ring's Shadow of the Erdtree DLC shipped 12 million units in Q3 2024, extending the base game's lifecycle into its fourth year. Bandai Namco holds distribution rights to the Elden Ring IP through 2027 under a pre-existing contract, but FromSoftware owns the engine, art pipeline, and design systems that generate ¥31,400 in revenue per employee, 4.7x the Japanese game industry median.

Kadokawa's board meets quarterly, with the next ordinary session scheduled for late March. Activist campaigns in Japan require 90 days of continuous ownership before shareholders can call extraordinary meetings, putting Oasis's earliest intervention window in mid-April. The firm has not yet filed a Schedule 13D equivalent under Japanese law, which would indicate intent to influence control. The 10.02% filing is a passive disclosure under the five-percent reporting rule, but Oasis's prior campaigns moved to active filings within 45-60 days of initial entry.

Kadokawa's ADR program trades over-the-counter in New York at 11,200 shares daily, too thin for institutional replication. The Tokyo-listed ordinary shares moved 2.7% on January 24 after the filing became public, closing at ¥4,190 on volume 340% above the three-month average.
