The timing advantage that underwrote two decades of IPO allocation alpha has compressed to weeks.

Platforms including Forge Global, Hiive, and EquityZen processed $9.2 billion in pre-IPO transaction volume during the first half of 2026, up 41% year-over-year. Nearly 68% of that flow occurred in companies expected to file S-1 documents within twelve months. Bid-ask spreads on those names have tightened to 3-5% from 12-18% three years prior, meaning price discovery is functioning with public-market efficiency before public-market mechanics arrive. The trades themselves are micro-scale — median block size is $180,000 — but the aggregation of demand signals is macro. Underwriters now treat secondary platform pricing as a baseline, not a curiosity.

This matters because timing arbitrage, the engine of IPO alpha, relied on information asymmetry that no longer exists. When only insiders and venture firms knew a company's trajectory, Day One pops rewarded allocators who secured shares at the offering price. Now, family offices and fund managers can observe real-time demand through secondary pricing, employees can monetize equity without waiting for lockup expiry, and institutional buyers can establish positions pre-IPO without underwriter favor. The result: IPO pops have declined to an average of 8.4% in 2026 from 18.7% in 2021, and 34% of offerings now price at or above the top of the range, suggesting bankers are capturing value that previously accrued to first-day buyers.

Second-order effects extend beyond IPO mechanics. Pre-IPO liquidity has altered late-stage venture behavior. Companies that once delayed public filings to avoid quarterly reporting now face quarterly price discovery anyway, as secondary trades establish pseudo-public valuations without SEC oversight. Governance has not caught up. There is no requirement to disclose secondary platform pricing in S-1 filings, yet those prices influence anchor investor bids and retail perception. The gap between private valuation and secondary pricing — which Forbes pegs at an average of 14% across 23 analyzed names — creates a shadow markdown that affects employee equity psychology and late-round dilution terms.

Allocators should watch three events. First, SEC examination of whether secondary platform pricing constitutes material non-public information when employees trade with institutional counterparties.
