Private credit raises $220B year-to-date as deployment drops below 40% utilization

Direct lenders are swimming in dry powder while borrowers quietly return to cheaper syndicated loans.

In plain words

Private credit's **$487B** dry powder overhang is now a deployment crisis, not a growth story.

$220 billion
through September
18%
while deployment rates fell to their lowest quarterly mark…
$487 billion
in aggregate dry powder across the asset class
SOFR plus 575 basis points
in Q3

Private credit funds pulled in $220 billion through September, outpacing 2023's full-year total by 18%, while deployment rates fell to their lowest quarterly mark since 2020. The gap between capital raised and capital deployed widened to $487 billion in aggregate dry powder across the asset class, according to Preqin data cited by Reuters on October 15. Direct lenders are now sitting on more unallocated capital than at any point in the sector's history.

The slowdown is structural, not cyclical. Borrowers who rushed to private credit in 2022 and 2023—when banks retreated from leveraged lending—are now returning to the syndicated loan market as traditional lenders rebuild balance sheets and price competition returns. The average spread on a first-lien private credit facility widened to SOFR plus 575 basis points in Q3, while comparable syndicated loans priced at SOFR plus 425. That 150-basis-point gap is enough to move middle-market CFOs back to relationship banking. Deal count in the private credit universe fell 22% quarter-over-quarter, even as fundraising accelerated.

This creates a dangerous math problem for general partners. Funds raised in 2022 and 2023 carry management fees on committed capital, not deployed capital, which means LPs are paying 1.5% to 2% annually on cash that isn't working. The deployment period clock is ticking: most private credit vehicles have three to five years to put capital to work before extension votes trigger. If deployment stays below 40% annualized, managers will face either fee rebates or career risk. Meanwhile, continuation vehicles are appearing as a release valve—KKR's $460 million private credit continuation fund, closed this month with AllianzGI as lead, marks the first visible use of the secondary market to manage LP impatience. Expect more.

Citi Wealth's Andy Sieg told clients this week that private credit remains a core allocation despite withdrawal requests exceeding quarterly redemption caps at some funds. That language—"exceeding caps"—is the polite version of gating. When a $15 billion fund with a 5% quarterly redemption limit starts hitting that ceiling consistently, it signals that some allocators are already trying to de-risk. The asset class hasn't broken, but the vintage matters now. Funds raised in 2020 and 2021, fully deployed into pre-rate-hike deals, are performing. Funds raised in 2023 and 2024 are still hunting, and the hunt is getting harder.

Operators and allocators should watch three things over the next six months: deployment percentages in Q4 earnings calls, the spread between private credit pricing and syndicated alternatives, and the volume of continuation vehicles hitting the market. If deployment doesn't tick above 50% by year-end, expect a wave of fee concessions in early 2025. If the syndicated loan market continues to reprice tighter, private credit's competitive moat narrows to execution speed and certainty, not yield. And if continuation vehicles become the industry's preferred capital-recycling tool, the secondary market will dictate terms that GPs won't like.

The private credit industry raised $1.5 trillion since 2018. It now has to prove it can deploy $487 billion in dry powder without chasing risk or compressing returns. The fundraising part is solved. The deployment part is just starting.

For the principal

Flag any private credit commitments from 2023 forward—deployment risk now exceeds illiquidity risk in those vintages.

For the operator

Track quarterly deployment rates and fee structures; continuation vehicles signal manager stress before formal gates appear.

For the house

Underweight new private credit commitments; overweight 2020-2021 vintages in secondary; watch KKR continuation pricing for valuation floor.

AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.

Built by the craft floor — apparel, media, packaging, and secure print.
This trade runs on hands, not desks. Imprint manufacturing & Komori heritage press through approved vendors · Canon high-speed secure-media operations is a craft floor — genuine Six Sigma discipline applied to ink, thread, foil, and registration, where a hundredth of an inch is the difference between a brand that reads serious and one that reads cheap. POPS4 is built by exactly those operators: independent, boots-on-the-ground engineers who carry their own book, read a client in microseconds, and put their name on every run. Beyond our own Virginia Beach floor, we work with a vetted network of craft manufacturers across the US — each meeting the highest excellence in QC standards in the industry, each a specialist in its own discipline — so apparel, hard-goods imprinting, media manufacturing, packaging, and secure printing all go to the bench built for them, coordinated from one accountable hub.
