Sachem Head Capital disclosed a 6.9% position in Ionic Digital and participated in the company's $400 million private placement, marking the activist's first disclosed bet on the bitcoin-to-AI infrastructure pivot that has reshaped the mining sector since mid-2023. The stake was filed Monday alongside the close of Ionic's capital raise, which the company will use to convert existing power purchase agreements and real estate into hyperscale compute facilities.
Ionic Digital emerged from Celsius Network's bankruptcy as a standalone mining operation with 200 megawatts of contracted power capacity across Texas and the Carolinas. The company operated 22,000 S19 and S21 ASICs as recently as October 2024. Over the past four months, management quietly sold down 14,000 machines and began site conversions for AI workloads, reducing bitcoin hash contribution by 41% while signing two letters of intent with unnamed hyperscalers for 75 megawatts of GPU-ready capacity. Sachem Head's entry follows that pivot. The activist now holds 8.2 million shares at an average disclosed cost near $6.10, roughly 18% below the private placement price of $7.45 per share, suggesting earlier accumulation or negotiated terms.
The thesis is straightforward. Ionic owns power contracts written when industrial electricity traded at 3.8 cents per kilowatt-hour in ERCOT's wholesale markets. Those same contracts now anchor HPC leases priced at 12 to 16 cents per kilowatt-hour with seven-to-ten-year terms, creating a $48 million to $72 million annualized margin lift per 100 megawatts converted, assuming 85% uptime. Sachem Head has a $3.2 billion book concentrated in fewer than 12 positions, typically taking board seats and driving operational overhauls within 90 days of disclosure. The firm previously ran similar conversions at Autodesk and HD Supply, both cases where underutilized infrastructure assets were rerated through contract restructuring. Ionic's market capitalization sat at $680 million before the placement announcement. The $400 million raise at a 22% premium to the trailing thirty-day average implies Sachem Head and co-investors see at least $1.1 billion in post-conversion enterprise value, or roughly 5.5x the current power contract book.
Operators should watch Ionic's Q1 2025 earnings call, expected late April, for disclosed HPC capacity online and utilization rates on converted sites. Sachem Head typically files amended 13Ds within 45 days of initial disclosure if board representation is sought. Management has guided 150 megawatts of AI-ready capacity by year-end 2025, but the private placement structure included $140 million in committed construction capital, suggesting acceleration. Any announced hyperscaler tenant—particularly the two unnamed LOI counterparties—will reprice the equity within hours. The sector has already seen CoreWeave, Lambda Labs, and Crusoe Energy pay 14% to 18% premiums for powered shell facilities with sub-12-month build timelines, and Ionic's sites meet that specification.
The $400 million was split 60/40 between new equity and convertible notes at 6.5% coupon, convertible at $9.20 per share. Sachem Head took $110 million of the equity tranche, making it the largest post-placement shareholder after management and Celsius estate creditors. The estate still holds 11.2%, likely to distribute by mid-2025 once final claims are adjudicated. That overhang clears in 120 to 180 days, just as the first HPC racks are scheduled to power on.
