Seabury Capital Management closed $3.0 billion in initial commitments to its MBV Investments LP fund, with the Al Mazroui Group—a UAE-based conglomerate with holdings in aviation, real estate, and industrial services—writing $2.5 billion as anchor. The balance came from undisclosed co-investors. Seabury did not disclose target fund size or final close date.
The firm runs $6.2 billion in aviation-linked credit and equity strategies. MBV Investments targets mid-market buyouts and growth equity in aviation services, logistics infrastructure, and aerospace manufacturing. Seabury has closed six deals since 2021, including a $340 million take-private of a regional MRO operator and a $180 million minority stake in a freight-handling technology platform. Al Mazroui Group operates 14 subsidiaries across the Gulf, including aircraft ground services and cargo terminals at Abu Dhabi and Dubai airports. The group's prior allocations to third-party managers ran $400 million to $600 million per commitment, per industry filings. This is its largest single fund anchor to date.
The commitment reflects two structural shifts. First, Gulf family offices and conglomerates are moving from diversified multi-GP portfolios to concentrated co-investment and anchor roles. Al Mazroui's $2.5 billion check is 83% of MBV's disclosed first close, a governance and fee threshold that typically grants LPAC seats, co-investment rights on all deals above $150 million, and veto over GP-led secondaries. Second, MENA allocators are re-routing capital into sectors where they hold operational advantage. Al Mazroui controls ground infrastructure at two of the region's top-five cargo hubs by tonnage. Anchoring a fund that buys logistics and MRO assets creates pre-negotiated acquisition pipelines and cross-holding synergies that passive LP stakes do not. The model is closer to Brookfield's infrastructure funds—where anchor LPs are also operators—than to traditional private equity.
Seabury's prior funds closed at $1.2 billion (2019) and $890 million (2016). MBV's $3.0 billion first close is triple the 2019 vintage, a velocity that suggests the anchor was negotiated before formal fundraising began. Aviation and aerospace funds raised $18.4 billion globally in 2024, down from $22.1 billion in 2023, per Preqin. Seabury is raising into a narrower window. The anchor structure de-risks that.
Operators should watch for MBV's first disclosed acquisition. Seabury's deal cadence runs one platform buy per $500 million to $700 million of dry powder, so expect a $200 million to $400 million transaction in Q4 2025 or Q1 2026. If the target is Gulf-adjacent—an African cargo handler, a European MRO with Middle East contracts—it will confirm the thesis that Al Mazroui anchored for strategic access, not just return. Watch also for co-investment syndication. Anchor LPs with 80%-plus first-close weight typically bring two or three co-anchors into later closes to rebalance governance. If MBV adds $1.5 billion to $2.0 billion by mid-2026, final fund size will land near $5.0 billion, which would make it the second-largest aviation-focused buyout fund on record.
Al Mazroui Group has not publicly allocated to a Western private equity manager since a $120 million commitment to a European infrastructure fund in 2018. This is not portfolio diversification. This is a build.
