SoftBank Group filed a public tender offer with France's Autorité des Marchés Financiers to acquire BALYO, a warehouse automation and autonomous vehicle platform traded on Euronext Growth Paris. The filing follows months of widening losses at BALYO and arrives as SoftBank reorients capital toward industrial automation after three years of public-market write-downs.
BALYO's board convened an ad hoc committee composed of independent directors Juliette Favre and Yasmine Fage to evaluate the offer. The company issued a statement describing the approach as favorable, though pricing terms have not been disclosed. BALYO provides self-driving forklift and pallet-moving systems to logistics operators in Europe and North America. Revenue for the twelve months ending September 2024 was €18.3 million, down 11 percent from the prior year, with operating losses widening to €9.1 million.
SoftBank's filing reflects a measured return to robotics infrastructure after abandoning splashier bets on consumer AI and mobility software. The group exited or wrote down investments in WeWork, Katerra, and Zume Pizza between 2020 and 2023, erasing $32 billion in Vision Fund portfolio value. BALYO represents a narrower thesis: the company sells hardware and fleet-management software directly to warehouse operators, not platform dreams. It competes with AutoStore, GreyOrange, and Vecna Robotics in a logistics automation market projected to reach $41 billion by 2027. Acquiring BALYO gives SoftBank owned IP in autonomous material handling at a moment when European regulators are tightening vendor access to U.S. supply-chain networks.
The AMF filing signals intent but not closure. SoftBank must submit final offer documentation within eight weeks of the draft filing. BALYO's committee will issue an independent fairness opinion, likely by late January. Watch for SoftBank's stated offer price and whether it triggers a competing bid from AutoStore or a U.S. logistics operator looking to internalize automation technology. The market will also watch whether SoftBank structures the deal through Vision Fund or directly onto the parent balance sheet, a detail that clarifies whether this is portfolio strategy or core operational buildout.
The filing landed the same week SoftBank disclosed a ¥340 billion investment in OpenAI's latest funding round, underscoring the group's split positioning: consumer-facing foundation models on one side, industrial robotics infrastructure on the other. BALYO's enterprise value at last trade was €47 million.
