Stripe and Advent Table $53 Billion Offer for PayPal in Payments Consolidation Play

The bid, if accepted, would mark the largest fintech acquisition on record and end PayPal's fifteen-year run as a public company.

Stripe and Advent International submitted a $53 billion offer to acquire PayPal, according to Reuters reporting Wednesday. The proposal, structured as a joint bid between the payments processor and the private equity firm, would take PayPal private and consolidate two of the three largest online payment platforms under one roof. PayPal's board has not yet publicly responded. The company's market capitalization sits near $48 billion as of Wednesday's close, implying a premium in the low double digits.

PayPal has been under pressure since late 2021. Revenue growth decelerated from 21% in fiscal 2021 to 9% in fiscal 2023, while operating margin compressed 340 basis points over the same window. Management attributed the slowdown to normalizing e-commerce growth post-pandemic and intensifying competition from Apple Pay, Google Pay, and embedded checkout providers. Activist investors began circling in mid-2023. Elliott Management disclosed a 2.1% stake in January 2024 and has since pressed for cost discipline and strategic refocus. The stock remains down 68% from its July 2021 peak of $308.

Stripe's interest carries two implications. First, the company appears willing to deploy balance sheet capacity and Advent's dry powder to accelerate inorganic growth after a five-year M&A lull. Stripe has completed eleven acquisitions since 2019, per Crunchbase data, but none exceeded $200 million in disclosed value. A $53 billion transaction would dwarf that pattern by two orders of magnitude. Second, Stripe gains immediate access to PayPal's 400 million active accounts and its legacy Braintree processing infrastructure, which still handles checkout for a material share of mid-market e-commerce. Combined gross payment volume would approach $1.8 trillion annually, based on trailing twelve-month figures from both companies. That scale creates negotiating leverage with card networks and issuing banks, compressing interchange costs by an estimated 8 to 12 basis points across the blended portfolio.

Advent's participation suggests the deal will be financed with a mix of Stripe equity, Advent fund capital, and syndicated debt. Advent has $96 billion in assets under management and has closed four software and fintech buyouts exceeding $10 billion since 2020. The firm's typical hold period runs four to six years, which implies a 2029-2031 exit window. A take-private structure also insulates the combined entity from quarterly earnings pressure, allowing management to rationalize overlapping product lines and sales teams without immediate revenue volatility. Market participants expect $1.2 to $1.6 billion in annual run-rate cost synergies, concentrated in engineering, compliance, and go-to-market redundancies.

Operators and allocators should monitor three follow-on events. PayPal's board will likely respond within two to three weeks, either accepting the offer, rejecting it, or opening a formal sale process to solicit competing bids. Regulatory review in the U.S., EU, and UK would follow any definitive agreement, with antitrust scrutiny focused on combined market share in online checkout and peer-to-peer payments. Clearance timelines typically run twelve to eighteen months for transactions of this size. Finally, Stripe's private valuation—last marked at $65 billion in a 2023 secondary round—would face downward revision if the company commits significant equity to the PayPal acquisition, affecting cap table dynamics for existing shareholders and employees with stock options.

The offer, if consummated, would end PayPal's fifteen-year tenure as a public company and consolidate the online payments duopoly into a single private platform with Advent's capital behind it.

The takeaway
A $53 billion Stripe-Advent bid for PayPal would create a $1.8 trillion payment volume platform and the largest fintech buyout on record.

Your next customer won't visit your website. Their AI will.
AI assistants have quietly taken over the first step of buying — they answer from catalogs they can read and shortlist whoever can actually ship. Two questions now decide whether you exist to that buyer: can a machine read your catalog, and can you fulfill the order. Most brands fail one or both and never find out why the orders went elsewhere. The winners of this shift aren't the loudest. They're the most readable. Build for the machine that's about to do the shopping.
