Lamar, a publicly traded REIT since 2014, had never applied the mechanism to an outdoor advertising acquisition until Verde. Verde Outdoor operated a portfolio of static and digital billboard faces across Arizona and adjacent markets. The company's founder had built the business over two decades, a profile that maps cleanly onto the UPREIT use case: long-held assets with substantial embedded gains and an owner nearing succession or diversification. By accepting Lamar operating partnership units, Verde's principals retain economic exposure to Lamar's enterprise performance while deferring the tax event. If the structure works as designed, they can hold the units indefinitely, borrow against them, or eventually exchange them for Lamar common stock on their own timing.

The implications extend beyond one deal. Lamar's adoption of UPREIT mechanics creates a new acquisition currency in a fragmented industry where roughly 1,100 out-of-home operators control the US market outside the top five consolidators. Many of those operators are family-owned, founder-led, and approaching generational transition. Traditional cash or stock deals force an immediate tax event; UPREIT structures defer it. That difference can swing deal economics by 15 to 25 percentage points depending on the seller's basis and state tax exposure. Lamar now competes with Outfront Media and Clear Channel Outdoor—neither of which has publicly deployed UPREIT structures—on a differentiated footing.

The structure also signals Lamar's confidence in its own unit value and operational integration. UPREIT deals only work if the seller trusts the acquiring REIT's long-term performance, since the operating partnership units they receive are illiquid and typically subject to one-year lockups before conversion to tradable stock. Lamar's shares have traded in a $100 to $135 range over the past twelve months, reflecting stable cash flow from long-term billboard lease contracts and digital conversion momentum. Verde's principals effectively bet on that trajectory by taking units instead of cash.

Operators and allocators should watch whether Lamar deploys the structure again in the next twelve to eighteen months, particularly in the Southwest and Southeast markets where family-owned out-of-home portfolios remain dense. A second or third UPREIT deal would confirm the mechanism as repeatable rather than bespoke. Outfront Media, the other major publicly traded out-of-home REIT, will face pressure from its board and activist shareholders to adopt similar mechanics if Lamar gains acquisition velocity. Regional operators with $50 million to $200 million in enterprise value will begin requesting UPREIT terms in sell-side processes, forcing acquirers to either match or lose deals.
